Legal
Terms of Service
These terms cover sendoracrm.com and the SendoraCRM marketing platform. Both are operated by SendoraCRM, Inc.
This agreement ("Terms") sets the rules for using the SendoraCRM platform and website provided by SendoraCRM, Inc. ("SendoraCRM", "we", "us"). By opening an account or using the service, you accept these Terms. If you sign up for a company, you confirm that you may legally bind that company.
1. The service
SendoraCRM serves online retailers that sell through their own storefronts. The product combines a shared customer record with tools for composing email and SMS campaigns, building automated journeys, reviewing performance, and drafting content with AI assistance. Features may be introduced, revised, or withdrawn as the product develops, and we will give reasonable notice where a change materially affects a paid subscription.
2. Accounts
- Registration asks for a work email, a password, and basic company details. Keep that information accurate as it changes.
- Your credentials are yours to protect. Activity performed through your login is treated as yours.
- The service is for business users aged 18 or over who can accept a contract.
- If you suspect unauthorized access, call +1 (415) 682-3941 right away so we can help you secure the account.
3. Plans, charges, and billing
- Free covers a fixed contact allowance plus the features shown on the plan page.
- Growth and any other paid tier bill each month ahead of use, in US dollars. The amount follows the number of active contacts and the channels switched on.
- Payments are generally final. Where local law grants a refund right, we honor it. Downgrades take effect when the following cycle begins.
- Price changes reach you at least 30 days ahead and apply from the next renewal date.
- Unpaid balances can lead to a temporary hold after we send written notice.
4. Your content and data
Ownership of everything you place in SendoraCRM stays with you. That includes shopper records, campaign copy, images, and any other files you add or transmit ("Your Content"). You allow us to store, process, and transmit Your Content for one purpose only: running the service you asked for, such as delivering a campaign or syncing a field from your store.
Before you message anyone, make sure you hold the permissions your jurisdiction requires and that SMS opt-in records exist for every recipient. You also confirm that what you send is lawful.
5. Acceptable use
Use of SendoraCRM must stay within the law and within these Terms. In particular, do not:
- message people who have not agreed to hear from you, or send content that is unlawful or misleading
- advertise prohibited products, run deceptive promotions, or violate another party's rights
- introduce malware, harvest data through automated means, or interfere with how the platform runs
- attempt to view records that belong to a different customer, or bypass any access control
- offer the platform to third parties as your own service without a signed partner agreement
We may pause an account that breaches this section. Where the situation allows, we will explain the problem first, and repeated breaches end in closure.
6. Messaging compliance
Carrier and marketing rules differ by country. You remain accountable for meeting them, including how you obtain consent, how you identify the sender, and how recipients can opt out with keywords such as STOP or START. Our product includes features that make compliance easier, yet it does not transfer legal duty away from you.
7. AI features
Where you use the AI helpers, the platform drafts suggestions by drawing on your account data and on general-purpose models. Those drafts are starting points. Read and edit them before anything goes out, because you carry responsibility for what is delivered. We do not feed Your Content into shared foundation models for training.
8. Third-party services
The platform links to outside systems, among them storefronts, carriers, and payment processors. Each of those providers sets its own contractual terms. We have no control over their behavior and accept no liability for it.
9. Intellectual property
SendoraCRM, Inc. owns the platform itself: the code, the interface, the brand marks, and the written documentation. Intellectual property law protects all of it. While your subscription remains in force, you receive a license to access and use the platform that is limited in scope, non-exclusive, and cannot be handed to someone else. If you send us suggestions, we may act on them freely, and no payment or credit is owed.
10. Termination
Closing your account is self-service and can be done whenever you like. Access continues until the paid period finishes. On our side, we may restrict or close an account after a serious breach of these Terms, normally with 14 days' warning, though unlawful messaging or a security incident may lead to immediate action. Following closure you have 30 days to download Your Content, after which it is removed in line with our retention schedule.
11. Disclaimers
No warranty accompanies the platform beyond what the law requires. It is supplied on an as-is, as-available basis, and we specifically disclaim implied promises of merchantability, suitability for a specific purpose, and non-infringement. Uptime and results are not guaranteed. A campaign may perform below your expectations, and the platform may occasionally be unavailable.
12. Limitation of liability
Where the law permits a cap, our aggregate liability connected to the platform will not exceed the fees you paid in the 12 months preceding the claim. We also exclude responsibility for losses that are indirect or consequential, and for lost profit, lost revenue, or lost data. Nothing here limits liability that cannot lawfully be limited.
13. Indemnification
If a third party brings a claim because of Your Content, your campaigns, or a failure on your part to follow these Terms or the law, you agree to defend and compensate SendoraCRM, Inc., along with its directors, staff, and contractors. Claims from your recipients about messaging consent fall within this section.
14. Governing law
The laws of Delaware govern this agreement, and its conflict-of-law principles do not apply. Any dispute belongs in the state or federal courts sitting in Delaware, whose jurisdiction you accept. Where mandatory consumer law gives you a different forum, that rule prevails.
15. Changes to these Terms
From time to time we will revise these Terms. A material revision will be communicated by email or inside the product no fewer than 14 days before it applies. Continuing to use the platform after the effective date signals agreement to the revised version.
